• Clients are responsible for implementing recommendations and ensuring ongoing compliance with applicable laws and regulations
• Each workplace and situation is unique, and clients must exercise their own judgment in applying our guidance

Client Responsibilities

When engaging our services, clients agree to:

• Provide accurate and complete information about their operations and EHS challenges
• Grant reasonable access to facilities and personnel for assessments when applicable
• Review and consider our recommendations in the context of their specific operations
• Make final decisions regarding implementation of EHS programs and controls

Limitation of Liability

To the fullest extent permitted by law, Prudence EHS shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to our services. Our total liability for any claim shall not exceed the amount paid by the client for the specific services giving rise to the claim.

Intellectual Property

All reports, assessments, tools, templates, and other materials created by Prudence EHS remain our intellectual property. Clients receive a license to use deliverables for their internal business purposes. Materials may not be reproduced, distributed, or sold without our written permission.

Confidentiality

We treat all client information as confidential and will not disclose it to third parties except:

• With the client's written consent
• As required by law or legal process
• To service providers who assist in delivering our services (under confidentiality obligations)

Service Modifications

We reserve the right to modify or discontinue our services at any time. We will make reasonable efforts to notify clients of significant changes that may affect ongoing engagements.

Termination

Either party may terminate a service engagement with written notice. Clients remain responsible for payment for services rendered prior to termination.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, USA, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Virginia.

Changes to Terms

We may update these Terms of Service from time to time. Continued use of our services after changes are posted constitutes acceptance of the modified terms.
